first charge the phone fully then update using ITUNES. if its not updating then use redsn0w to reflash the phone the IPAD Baseband.

Just you need to restore ios 4.3.2

If it didn't worked than you must have trying flashing ipad baseband and stopped in middle.So if it's the case then you gotto download redsn0w and download ios 4.3.2 and using redsn0w update your modem firmware to 6.15.00 by flashing ipad baseband

brother check bluetooth and WIFI is disable?if is disable its means is baseband chip damage.
