I have two sagem SIMLOCKED with out Sim card.

any know i can repair phone which is Simlocked with out sim card

and HOW to reset counter.

Check, if your IMEI is correct...
Use SagemDr to correct the IMEI. (Do not only correct field 0)
Then use option 9 -> Verify Checksums

(Use standardvalues except for field 251. Enter the data manually, enter "40" instead of "41".

This should help.

did you choose the correct port and baud rate?

for 92x: usually 4800bps
for 93x: usually 19200bps (specified in the data-parameter-menue)

What Firmware do your sagems have?

- At first make a backup of the phones (if something goes wrong, you can go back to the yet-state)
- Change IMEI to something... (Don't correct the checksums)
- Change IMEI back to original IMEI (see the sticker on the phone)
(don't correct the checksums)
Either it works now or you get the message simlocked...
The further action depends on the firmware of your phone.
If your Firmware is older than FT 4.1M or FW 4.1M you can just write 00 to field 251 / 252 / 253 and then correct the checksums (Option 9)
For field 251 manually enter the value 40
For the other fields you can let sagemdr take the standardvalues...

If your firmware is newer, please ask again and I'll tell you.

phone is unlocked, but no network...
